Subcontractor Agreement

1.1 Passion Pro Builders agrees to perform attic insulation services under the direction and supervision of ZeroVap.

1.2 Services include but are not limited to:

• Attic insulation removal and disposal
• Attic cleaning and decontamination services
• Air sealing and weatherization
• New insulation installation (blown-in and batt)
• Rodent proofing and exclusion work
• HVAC duct repair and replacement
• Radiant barrier installation
• Vapor barrier installation

1.3 All work shall be performed in accordance with applicable building codes, manufacturer specifications, and industry best practices.

2.1 ZeroVap maintains California Contractor License #ZEROLICENSE (placeholder) and shall remain the primary contractor responsible for all work.

2.2 Passion Pro Builders maintains California Contractor License #1051963 and agrees to perform work under ZeroVap's license and supervision.

2.3 Both parties shall maintain current general liability insurance with minimum coverage of $1,000,000 per occurrence.

2.4 Workers' compensation insurance shall be maintained as required by California law.

3.1 All work must meet ZeroVap's quality standards and customer satisfaction requirements.

3.2 Passion Pro Builders warrants all workmanship for a minimum period of two (2) years from completion.

3.3 Any defective work must be corrected at no cost to the customer or ZeroVap.

3.4 Customer communication and service must maintain ZeroVap's professional standards.

4.1 ZeroVap shall provide customer leads, scheduling, and project management.

4.2 Passion Pro Builders shall provide qualified technicians, tools, and equipment necessary for job completion.

4.3 All customer interactions must represent ZeroVap's brand and values.

4.4 Project schedules and timelines must be coordinated through ZeroVap.

5.1 Compensation rates shall be agreed upon for each project type and documented separately.

5.2 Payment shall be made within thirty (30) days of satisfactory project completion.

5.3 Passion Pro Builders is responsible for all employee wages, benefits, and tax obligations.

5.4 Any additional work outside the original scope must be pre-approved by ZeroVap.

6.1 This Agreement shall remain in effect until terminated by either party with thirty (30) days written notice.

6.2 Either party may terminate immediately for material breach of this Agreement.

6.3 Upon termination, all ongoing projects must be completed according to existing commitments.

6.4 Confidentiality and non-disclosure obligations survive termination of this Agreement.
